As our Company Secretary, you will play a central role in ensuring strong governance, legal compliance, and effective board operations.
Trustee – Company Secretary
Location: Somerset
Time Commitment: On average 2 days per month
Remuneration: Voluntary (reasonable travel expenses paid)
About Us
Mind in Somerset aims to promote good mental health and wellbeing, to provide a voice, and champion a greater understanding of mental health issues in the community, whilst operating to the highest standards of governance and best practice and, to ensure these standards are met, we are seeking a skilled and dedicated Company Secretary to join our Board of Trustees.
The Role
As our Company Secretary, you will play a central role in ensuring strong governance, legal compliance, and effective board operations. You’ll work closely with the Chair and CEO to support the smooth running of the organisation and uphold the highest standards of transparency and accountability.
Key Responsibilities
Governance and Legal Compliance
· Ensure compliance with Articles of Association, Charity Commission, and Companies House.
· Stay updated on legal obligations and advise the Board.
· File statutory documents (annual returns, accounts).
Support Board Governance:
· Collaborate with the Chair to organise Board meetings and AGMs, ensuring legal compliance.
· Arrange minute-taking and ensure agreed actions are published.
· Support trustee appointments and adherence to the Code of Conduct and Conflict of Interest Policy.
Administrative Duties:
· Prepare agendas, maintain accurate records of meetings
· Maintain the register of trustees, directors, members, and interests.
· Ensure timely statutory filings to Companies House and Charity Commission.
AGM and EGM Management:
· Ensure the AGM is properly convened in line with governing documents.
· Assist with document preparation, ensuring statutory requirements are met.
· Support the organisation of EGMs when required.
Supporting Trustees:
· Provide guidance on legal duties, ensuring trustees are informed and inducted.
· Maintain up-to-date trustee registers and request annual declarations.
Governance of Management Quality Model (MQM):
· Ensure Mind Quality Management governance standards are understood and implemented.
· Promote continuous improvement in governance alongside the Board.
What We’re Looking For
· Experience in governance, company secretarial work, or charity administration
· Strong understanding of charity/company law and regulatory compliance
· Excellent organisational skills and attention to detail
· Ability to communicate clearly and work collaboratively with a diverse board
· Integrity, discretion, and a commitment to our mission and values
· Prior trustee experience is helpful but not essential
