Company Secretary

Reporting to the Chair of Trustees, you will be a key influencer in driving the charity-based Company towards a bright and prosperous future. Working with your fellow Directors, you will be responsible for ensuring excellent business focus at all times whilst ensuring the Company meets its corporate governance and compliance obligations.

Due to limited handover opportunities, we are looking for someone confident in operating independently.

The role would suit an individual with the drive and energy to carry out activities such as

• Maintain the Company’s statutory books as required by Companies House and the Charity Commission;

• Arrange the meetings of the Board of Directors;

• Inform Companies House and the Charity Commission of any significant changes in the company’s structure or management;

• Maintain the Company’s registered office;

• Advise the Board on its duties, and ensure activities comply with legal requirements

We would expect applicants to possess the requisite knowledge and experience to discharge the functions of secretary of the company. In addition, the post holder should meet one or more of the following qualifications:

• Be a member of a relevant professional body, or have been a member if now retired.

• Have previously held the office of company secretary of a public company for at least 2 years.

• Be a person who by virtue of holding or having held any other position or being a member of any other body, appears to the Directors to be capable of discharging the functions of the secretary of the company.
